Description of Business

|
We are a financial holding company that was newly established on January 11,
2019 pursuant to a "comprehensive stock transfer" under Korean law, whereby
holders of the common stock of Woori Bank and certain of its subsidiaries
transferred all of their shares to us and in return received shares of our
common stock. We were established under the Financial Holding Company Act of
Korea, which, together with associated regulations and a related Enforcement
Decree, enables banks and other financial institutions, including insurance
companies, invest trust companies, credit card companies and securities
companies, to be organized and managed under the auspices of a single financial
holding company. As a result of the stock transfer, Woori Bank and certain of
its former wholly-owned subsidiaries, Woori FIS Co., Ltd., Woori Finance
Research Institute Co., Ltd., Woori Credit Information Co., Ltd., Woori Fund
Services Co., Ltd.
