We are a blank check company formed on March 24, 2021 as a Delaware corporation
whose business purpose is to effect a merger, capital stock exchange, asset
acquisition, stock purchase, reorganization or similar business combination with
one or more businesses or entities. The company has not commenced any
operations. We have not identified any business combination partner and we have
not, nor has anyone on our behalf, initiated any substantive discussions,
directly or indirectly, with respect to any potential business combination with
us. All activity for the period March 24, 2021 (inception) through December 31,
2021 relates to the Company's formation and the Initial Public Offering and
since the Initial Public Offering to its search for an initial business
combination.
