We are a blank check company formed on March 24, 2021 as a Delaware corporation
whose business purpose is to effect a merger, capital stock exchange, asset
acquisition, stock purchase, reorganization or similar business combination with
one or more businesses or entities. The company has not commenced any
operations. All activity for the period March 24, 2021 (inception) through
December 31, 2022 relates to the Company's formation and the Initial Public
Offering and since the Initial Public Offering to its search for an initial
business combination. Based on our business activities, the Company is a "shell
company" as defined under the Exchange Act of 1934, as amended (the "Exchange
Act"), because we have no operations and assets consisting almost entirely of
cash. We are also an emerging growth company and smaller reporting company and,
as such, we are subject to all of the risks associated with emerging growth
companies and smaller reporting companies, respectively.
