Marshall & Ilsley Corporation ("M&I" or the "Corporation"), a Wisconsin
corporation, is a registered bank holding company under the Bank Holding Company
Act of 1956 (the "BHCA") and is certified as a financial holding company under
the Gramm-Leach-Bliley Act. As of December 31, 2010, M&I had consolidated total
assets of approximately $50.8 billion and consolidated total deposits of
approximately $38.3 billion, making M&I the largest bank holding company
headquartered in Wisconsin. The executive offices of M&I are located at 770
North Water Street, Milwaukee, Wisconsin 53202 (telephone number (414)
765-7700). M&I's principal assets are the stock of its bank and nonbank
subsidiaries, which, as of February 15, 2011, consisted of four bank and trust
